摘　　要：我国国有企业在公司制改造过程中，企业资产运作效率和发展能力问题未得到彻底解决。要搞好国有企业，必须着眼于企业制度的整体优化；其中企业产权制度、股权结构、法人治理结构和产权激励是关键，国有企业制度安排中必须着眼于企业制度环境的整合，建构富有效率的公司制度。In the process of the reform of the company structure, the efficiency problem of asset operation and of the development capacity of the state - owned enterprises in China calls for solution. An integrated optimization of company structure should be given priority to improve the performance of the state - owned enterprises; the key factor lies in the ownership system of enterprises, the equity structure, the structure of the legal person management and the equity - based encouragement mechanism. In the mechanism arrangement of the state - owned enterprises, to construct an efficient company structure.
