摘　　要：针对我国企业集团发展中存在的突出问题 ,如产权结构单一 ,企业集团内部母子公司关系不畅等 ,提出了进一步推进国有企业集团股份制改造 ,完善企业集团内部管理和建立以资本经营为核心的企业集团内部管理新格局等对策和建议。并就国有企业集团股份制改造模式和实施步骤 ,以及企业集团总部的功能设置 ,企业集团总部与成员企业的关系等作了详尽的论述。In the light of prominent such problems as lack of diversification of stockholders and inefficient operational relationship between the group and the subsidiaries, countermeasures and proposals are advanced to push ahead with the transformation of state-owned enterprise groups into stock companies, to improve the internal administration, and to focus on the capital management. The paper elaborates modes and implementation procedures of the transformation of state-owned enterprise groups into stock companies, the function design of the group headquarters, the relationship between the headquarters and subsidiaries, and the like.
