摘　　要：在公司治理结构中引入独立董事制度 ,对公司双层委托治理结构的核心加以改善 ,一方面可制约内部控股股东利用其控制地位做出不利于公司和外部股东的行为 ,另一方面还可以独立监督公司管理阶层 ,减轻内部人控制带来的问题。本文拟从博弈理论的角度 ,对独立董事制度的背景、资格、运作、制度安排等方面做一粗浅分析 ,以求得对独立董事行为的理性解释。Accession of independent director into corporate governance cannot only improve the two-tier-principal corporate governance,monitor the management independently,solve the insider-controlled problems,but also prevent the big stockholders from controlling the company and hence making against the outside shareholders.Using the game methodology,the author intends to probe into the background,qualification,operation and arrangement concerning he independent director in the hope of getting a deep and rational understanding of it.
