摘　　要：从公司治理理论出发 ,分析了治理问题的产生、公司治理结构的功能 ;揭示了目前我国国有公司治理结构存在的问题及成因 ;探讨了公司化改造的基本制约条件和完善我国公司治理结构的基本思路。Based on the theory of corporation administering, this paper analyses the arising of the administering problem and the function of corporation administering structure; reveals the present problem existing in administering structure of China's state-owned corporation and its cause; discusses the basic restricting condition of corporation reform, suggesting the basic approach to perfect China's corporation administering structure.
