摘　　要：公司治理结构是一种据以对工商公司进行管理和控制的体系。莫兰德曾在世界范围内把公司治理结构分为市场导向型和网络导向型两种典型模式。根据实际情况 ,中国民营企业的治理结构可分为家族主导型和社会法人主导型两种基本模式 ,这两种治理结构模式在内部和外部治理结构方面都存在一定的缺陷 。Corporate governance is a system to manage and control the industrial and commercial company.Moerland divided the corporate governance into market-oriented and network-oriented in the region of the world.According to the facts,the corporte governance of China's private-owned enterprises can be divided into two kinds of patterns that is kindred-oriented and social legal person-oriented.The two corporae governance patterns have defects inside and outside corporate governance.The effective way to improve the corporate governance of China's private-owned enterprises is to make the innovation of corporate governance.
