摘　　要：股东(公司资产的最终所有者)在公司治理中起决定性的作用;国有公司治理诸问题的关键是国有资产的最终所有者缺位;解决国有公司治理问题的关键在于深化国有企业的产权改革,强化所有权约束。In the management of a company, shareholders play a decisive role. The key to the management ofstate-owned company is the lack of the final owner of state property; and the key to the solution of all problems lies inthe ownership reform and the strengthening of the control of ownership in state-owned enterprise.
