摘　　要：公司治理结构作为企业制度安排 ,涉及到股东、经营者等各方面的利益 ,对之进行有效协调 ,实现利益兼容 ,对于提高公司绩效具有重大意义。从分析利益冲突的表现形式及形成原因入手 ,提出了解决公司治理结构中利益兼容问题的对策。Company Organ,as an enterprise system arrangement,involves the interests of shareholders and managers,which should be well coordinated so that the interest batance can be realized.Based on the forms and caccses of interest conflict countermeasures of keeping interest balance in company organ are given.
