摘　　要：企业重组是实现资产优化配置的重要手段 ,在世界经济中普遍存在。在我国现阶段改革中有着特殊意义 ,企业重组是我国国有企业改革的重要内容 ,它涉及到国有企业在我国的结构分布、规模调整、产业及企业组织改造、制度变迁等一系列问题。本文以我国国有企业重组作为基本论题 ,阐述了国有企业重组的意义、国有企业重组模式和条件以及国有企业重组的具体运行问题。Enterprise reorganizing is an important means of relocating assets optimally, having been widely adopted in the world economy. It plays a special role at the present stage of reform. It is an essential content in the reforming of the state-owned enterprises, involving the structural distribution, scale adjustment, organizational reform in enterprises and industries, system reform for the state-owned enterprises. This study is based on the thesis of reorganizing the state-owned enterprises, and elaborates on the significance, mode, conditions and some concrete problems to be met in reorganizing the state-owned enterprises.
