摘　　要：建构科学完备的非营利组织法律体系,是现代社会组织体制的本质要求。非营利组织法属于私法。我国非营利组织立法应遵循非营利组织培育与规制并重、立法传统继承与适度创新及法律制度体系和谐诸原则。我国应建构以民法为统帅、非营利组织基本法为主导、非营利组织单行法为补充的非营利组织法律体系。我国未来非营利组织基本法宜采取组织法与行为法合一模式,篇章结构可设计为总则、设立、组织机构、变更和终止、财产的管理和使用、外国非营利组织分支机构、监管及公益组织认定和法律责任八章。The essential requirement of the modern social organization system is to establish an effective and complete legal system of non - profit organizations. The non - profit organization law is a private law. The legislation on non - profit organizations must abide by the principles of paying equal attention to cultivating and regulating non - profit organizations, reasonably carrying on and innovating traditional legislation moderately, and keeping the total legal system harmonious. We should set up a legal system of non - profit organizations that consists of civil law which guides the non - profit organization law, the basic law on non - profit organizations and separate acts on non - profit organizations. We should select the uniform code for the model of the non - profit organization basic law which is characteristic of the organization - law mode combined with the behavior - law mode. The non - profit organization basic law contains eight chapters which regulate separately general provisions, establishment of the NPO, organizational structure of the NPO, alteration and termination of the NPO, management and utilization of properties of the NPO, branch of foreign non - profit organization, supervision and administration and legal liabilities of the NPO.
