面子与法理:中英开平矿权纠纷及赴英诉讼

摘　　要：救亡图存压力下的近代中国面临市场经济的转向,由此成为东亚乃至世界市场网络中不可或缺的重要一环。但中国经济转型亦有自己的历史惯性及路径。19世纪60年代初开始的洋务运动意味着官督商办的体制探索,以求富为旨趣的民用企业尤以开平矿务局、轮船招商局、电报总局、上海机器织布局为著名。命途多舛的民用企业以开平矿务局的资产易为墨林、东方辛迪加再至中英矿务有限公司的曲折过程为代表。围绕求权还是争利,袁世凯、张翼各自的利益集团提出了解决中外开平矿权纠葛的意见、主张乃至方案。面对袁世凯步步紧逼,张翼被迫往伦敦诉讼,诉讼涉及新成立的英中有限公司本金100万英镑及虚股、移交约与副约两者互为矛盾的合法性等。张翼诉讼也在此框架内展开。张翼伦敦诉讼既有法理上争取副约权益的诉求,也有维持自己在清廷官场面子的需要。张翼诉讼因报刊上有效舆论议程设置而在面子上有所获益,开平矿权却在新政语境中渐次加速丧失。Under the pressure of salvation, modem China have to change from the traditional economy to a market economy, and become an essential part of East Asia and the whole world market. But China＇s economic transformation also has its own inertia and path. Kaiping Coal Mining Administration, China merchant steamship company, Chinese telegraph system and Shanghai Mechanical Textile Bureau are famous private enterprises in this period. Private enterprises＇ development were difficult,Kaiping Coal Mining Administration＇s property transfer was a good example. Yuan Shikai and Zhang Yi interest groups proposed their own opinions, proposals and programs on how to solve the Kaiping coal mining disputes between China and foreign countries. Faced with harder and harder pressure from Yuan Shikai, Zhang Yi unwilledly went to London to litigate. This litigation involving the legality of financial contradiction in newly formed China-United Kingdom Company. Zhang Yi wanted to fight for the legal rights and also to maintain his reputation in the Qing government. Although this litigation had some benefits for Zhang Yi, the final judgment took an unexpected turn,Kaiping Coal Mining rights was lost in the new political environment.
