摘　　要：上市公司治理机制和资本结构之间是何种关系,一直是理论界关注和研究的重点领域。同时,我国特殊的制度背景使得上市公司治理机制有一些独有的特点,本文通过对我国的公司治理与公司资本结构二者关系的分析,明确了公司治理影响公司资本结构的机制,从而为改进公司资本结构提供理论基础,为优化上市公司资本结构提出一些合理化建议。The relationship between the governance mechanism of listing Corporation and capital structure has been one focus in the field of theory research. While ,the China＇s special institutional background make the listing Corporation governance has some unique characteristics, This paper will analyze the relationship of corporate governance and capital structure ,and clear the impact of corporate governance mechanism on corporate capital structure, Then ,some suggestions for optimization of listing Corporation capital structure are put forward.
