石油企业公司治理结构与社会责任

摘　　要：油气田企业是中国重要的能源企业,由于行业的特殊性,其所承担的社会责任比其他行业更重。同时,良好的公司治理结构有利于保护利益相关者的利益,促使企业积极地履行社会责任。选取中国2007—2013年石油与天然气开采类主板上市公司作为研究样本,描述石油企业公司治理结构与社会责任现状,并实证分析股权结构、董事会、监事会和经理层对企业社会责任的影响。依据分析的结果,石油企业在改善公司治理结构的同时,应注重履行社会责任。Oil enterprises are an important energy sector in China with their social responsibilities being heavier than others ’because of the particularity of the industry .At the same time , a good corporate governance structure is conducive to protect the interests of stake -holders, prompting enterprises to fulfill their social responsibilities .Firstly, 2007-2013 China’s the oil enterprise listed companies for oil and gas business in Shanghai and Shenzhen A shares are selected as research samples , describing the corporate governance structure of oil enterprises and the present situation of social responsibility;secondly, the empirical analysis is made of the ownership structure , the board of directors , the board of supervisors and managers structure on the influence of the social responsibility of the companies ;finally, according to the results of the analysis , the oil enterprises should improve the corporate governance structure at the same time with focus on fulfilling their social responsibilities .
