摘　　要：通过对卧龙和均胜近两年的跟踪调查,结合价值链和跨国并购整合相关理论的分析,采用比较案例法对卧龙和均胜跨国并购整合的复杂过程做了系统深入的考察,构建了民营企业跨国并购整合的模型,深入研究了这两家公司跨国并购后进行有效整合的机理和路径,揭示了民营企业通过跨国并购整合创造价值的过程。Based on the follow-up survey of Wolong and Joyson for two years,and combined with the related theory of value chain and cross-border MA integration,this paper makes a systematic investigation on the complicate process of cross-border MA integration of Wolong and Joyson by the comparative case study. Then,it builts a model of cross-border MA integration of private enterprises,and studies the mechanism and path of effective cross-border MA integration of these two enterprises. In addition,it reveales the process of value creation through cross-border MA integration by private enterprises.
