摘　　要：随着"人口红利"的逐渐消失、自然资源的过量消耗和环境生态的严重破坏,转型升级成为中国民营企业持续发展的唯一出路。本文基于中国民营企业转型升级与竞争力调查数据,考察了民营企业转型升级的影响因素。结果发现,企业组织管理结构和政府公共服务对企业转型升级具有显著的影响。组织管理结构的优化,包括组织形式、资本模式、管理模式、决策模式和管理层股权激励等,反映了民营企业在向现代公司制管理模式转变,对企业转型升级具有明显的促进作用;政府公共服务质量的提高,能够从多个层面上促进当地民营企业转型升级。此外,企业市场范围的扩大,特别是海外市场的开拓,有利于民营企业进行转型升级;财政补贴、企业规模和企业主教育水平与企业转型升级显著正相关。本文的结论是稳健的,在此基础上我们还提出一些政策建议。With the gradual disappearance of ＂demographic dividend＂, the excessive consumption of natural resources and serious damage of ecological environment, transformation and upgrading becomes the only way for sustainable development of private enterprises. Based on Chinese Private Enterprise Upgrading and Competitiveness Survey Data, this paper investigates the determinants of private enterprises＇ transformation and upgrading. We find that the organization management structure and government public service have significant effects on the transformation and upgrading. The optimization of the organization management structure, including organization structure, capital structure, management mode, decision mode, and management equity incentives, reflects the shift to a modern corporate management mode and plays a significant role in promoting enterprises＇ transformation and upgrading. The improvement of the quality of government public service can promote the enterprises＇ transformation and upgrading in multiple ways. In addition, the expansion of the market scale, especially the expansion of the overseas market, is conducive to transformation and upgrading. Government subsidies, firm size and entrepreneur education level are positively correlated with the enterprises＇ transformation and upgrading. The conclusions are robust, and we propose some policy suggestions accordingly.
