摘　　要：党的十八届四中全会通过的《中共中央关于全面推进依法治国若干重大问题的决定》确定“编纂民法典”为依法治国的重大任务之一，立法机关已经决定重启民法典制定工作，首先制定《中华人民共和国民法总则》。民法典是国家法律体系中地位仅次于宪法的重要法律，而民法总则又是民法典的总纲和总的规则，人格权法、物权法、合同法、婚姻家庭法、继承法以及侵权责任法都受其拘束，具有特别重要的作用。学者提出立法建议稿，是我国民事立法的传统，既具有学术价值，也能够作为立法参考的蓝本予以借鉴。本刊刊登杨立新教授牵头的民法总则立法研究课题组起草的《（中华人民共和国民法总则（草案））建议稿》，以此为立法机关制定民法总则提供参考，也为编纂民法典的壮举助威。The General Principles of the Civil Law of the People＇s Republic of China（Draft） contains 12 chapters. It regulates the general rules for the application of civil law from the perspective of the legal relation. Apart from chapter 1 ＂general provisions＂ and chapter 12 ＂Supplementary articles＂, the others are edited according to the subjects of legal relations, namely natural persons, legal persons and unincorporated social organizations, the objects of the legal relations, namely civil interests and the contents of the legal relations, namely civil rights and obligations, change of legal relations, legal act, agency, civil liability and limitations of action. This draft adopts the newest theoretical research products and General Principles of the Civil Law. Eventually, the draft borrows ideas from other drafts concerning about the regards the legal relation as the mainline so that the subject of legal relation includes natural person, legal persons and unincorporated society organizations;mean- while the objects of the legal relation, namely civil interests includes interests of personality, interests of personal status, interests of property, real, behaviors and the other interests of property;as to the content of the legal relation, it regards the civil right and obligation as the mainline,including the change of legal relation, the ob- taining the civil rights of legal act, the agency of the legal act, civil liability for breach of civil obligations and the limitation of action.
