摘　　要：构建国有企业混合股权结构必然需要有与之相适应的治理结构。文章所研究的国有企业治理结构涉及股东大会、董事会、监事会和高级经理层等权力机构的设置和运行以及相互之间的关系和制度安排。运用管理熵理论和管理耗散结构理论分析现存治理结构问题出现的原因及重建的可能性。从组织结构、经理层和制度文化几个角度对治理结构进行战略性重建。It is needed to have corresponding governance structure in building a hybrid equity structure of state-owned enterprises.The state-owned enterprises governance structure research in the paper involves the general meeting of shareholders, board of directors,board of supervisors and senior managers to set up and running of the authority and the relationship between each other and system arrangement. By using the theory of management entropy and management dissipative structure theory analysis of existing problems in the governance structure of reason and the possibility of rebuilding. From the perspective of organizational structure, managers and system culture in strategic reconstruction of governance structure.
