摘　　要：目的 :提出关于改善医药行业上市公司治理结构与绩效关系的相关建议。方法 :通过Excel、Stata、Spss软件对2010-2012年医药上市公司治理结构中各要素与其综合绩效之间的关系进行实证研究。结果 :研究发现,医药行业上市公司国家股比例和董事会规模与公司绩效未呈现明显的相关关系,股权集中度与公司绩效呈现正相关关系;经理层薪酬与公司绩效呈现正相关关系。结论 :针对公司治理结构的不同层面提出合理化建议,为医药上市公司制定发展战略和提高绩效水平提供参考。Objective： To provide the relevant suggestions on the improvement of the governance structure and performance for pharmaceutical industry listing corporations. Methods： The empirical research on the relationship between the various elements and their comprehensive performance in the governance structure of pharmaceutical listing corporations during 2010-2012 was carried out through Excel, Stata, SPSS softwares. Results： It was found in this study that national stock proportion and board size of the pharmaceutical industry listing corporations and their performance do not present the obvious correlation, and ownership concentration and corporate performance as well as the payment of managers and corporate performance all show positive correlation. Conclusion： Some reasonable suggestions were proposed according to the different levels of the governance structure of companies so as to provide a reference for pharmaceutical industry listing corporations to formulate their development strategy and improve their performance level.
