摘  要:企业联盟中蕴含的多种风险被认为是联盟高失败率的一个主要原因,而不确定性是联盟风险的重要来源。在面对大量不确定性时,联盟企业需要采取恰当的管理措施以降低由此带来的风险。本文结合交易成本理论与资源依赖视角,探讨联盟外部不确定性(环境不确定性)与内部不确定性(伙伴行为不确定性)对联盟风险管理实践的影响,以及企业的风险管理对其合作绩效满意度的作用,并对伙伴间共同愿景在风险管理与合作绩效满意度关系间的调节效应进行研究。研究样本包含205家联盟企业,每个企业选择2个关键信息提供者。数据分析结果表明,高度的环境不确定性与伙伴行为不确定性均会促使企业采用更为完备的联盟风险管理实践,而企业对联盟风险进行管理转而又提高了其对合作绩效的满意度。此外,高度的共同愿景有利于发挥风险管理的积极作用,为联盟企业带来更高的合作绩效满意度。最后对研究的理论价值和实践意义进行了讨论。Strategic alliances are an important business strategy for many companies. However, more than half of all alliances fail, and even more alliances underperform because of the existence of diverse cooperative risks. In order to ensure the smooth functioning of alliances, partner firms need to undertake effective risk management activities. However, before alliance formation prior alliance research usually pays attention to some risk management measures, such as selecting appropriate partners, adopting safe governance structure, or limiting the scope of alliance activities. Especially, these risk management measures have been studied in isolation, while several of them usually take place simultaneously. This study introduces the concept of alliance risk management practices in order to redress these limits by integrating multiple risk management activities that partner firms may adopt during the alliance post-formation stage. These activities include altering equity structures, changing cooperative methods, shifting governance mechanisms, and strengthening mutual communication. Transaction cost economics (TCE) theory posits that uncertainty is a critical determinant of risks. Therefore, it may potentially affect those practices that partner firms would adopt in managing alliance risk. In consistent with Folta's (1998) theory, we argue that a focus on exogenous uncertainty (reflected as environmental uncertainty) in addition to endogenous uncertainty (reflected as partner behavioral uncertainty) may contribute to a better understanding of how uncertainty affects alliance risk management practices. In addition, although alliance performance has received enormous research attention, the performance consequence of alliance risk management has been unexplored. To fill this research gap, this study will investigate the direct relationship between alliance risk management practices and alliance performance.
