摘　　要：近年来,中国企业海外投资快速发展,投资规模不断扩大,涉及领域日益广泛。但由于各类交易成本的存在,在企业海外投资决策与金融模式、企业海外投资绩效、企业边界、抑制机会主义行为方面对中国企业海外投资造成影响。因此,应采取加强政府监管,抑制机会主义行为、加大对海外投资企业的扶持与引导,承担一部分交易成本、完善海外投资企业跨国治理、增强企业交易成本控制能力等措施,降低交易成本的影响,促进中国企业海外投资健康发展。In recent years, with the rapid development of overseas investment, the scale of Chinese overseas' investment has a continuous increase; the scope of it has also been profoundly expanded. However, the existence of various types of transaction costs is also affecting the Chinese enterprises' overseas investment from various aspects as the investment decision and the financial model, the enterprises' overseas investment performance, the enterprise boundary, as well as the opportunistic behavior suppression. Therefore, government supervision should be strengthened, and opportunistic behavior should be restrained. Meanwhile, we should increase support and guidance for overseas investment enterprises; the government should also burden part of the transaction costs; improve the foreign investment enterprise transnational management,enhance the enterprise transaction cost control ability and so on, thus to reduce negative transaction costs, and promote the healthy development of Chinese enterprises' overseas investment.
