摘　　要：国有企业功能界定与分类是新时期深化国有企业改革的重要内容。上海城投和重庆城投由于业务板块的特殊性,实际具有公益类国有企业和商业类国有企业的双重特点,这类特殊国有企业分类改革的方向和公司治理的模式更加复杂。这类特殊国有企业的改革,应根据其主业性质,合理确定其分类推进改革、分类促进发展、分类实施监管、分类定责考核的路径,从股权结构调整、董事会构成、专业委员会和监事会的构成等方面完善其分类治理机制。The function definition and classification of state-owned enterprises are important content of deepening the reform of state-owned enterprises in the new period. Because of the special nature of the business segments, Shanghai city investment and Chongqing city investment have the double characteristics between public welfare state-owned enterprises and Commercial state-owned enterprises, also the classification reform direction of this kind of special state-owned enterprises and corporate governance model are more complex. The reform of these state- owned enterprises should be according to the nature of the industry, and rationally determine the path of classification reform, classification to promote development, classification implementation supervision and classification of responsibility assessment. To perfect governance mechanism from the adjustment of ownership structure, the board composition, the professional committee and the board of supervisors.
