摘　　要：构建直销企业和分销企业并存的Cournot竞争模型,分析直销企业在获取一项提高产品质量的创新技术后,如何选择生产技术与制定技术转让决策。研究得出:第一,创新企业可以不采用新技术生产。当创新企业采用单位费用合同转让新技术,并且技术创新程度适中时,创新企业会采用旧技术生产。第二,比较技术转让合同的优劣发现,当单位费用无法从上游企业传导给下游企业时,单位费用合同有可能与固定费用合同等效。Based on a Cournot competition model,in which a direct selling enterprise and a distribution enterprise compete with each other,this paper analyzes the direct selling enterprise＇s production technology choice and patent licensing decision after it obtain a quality-enhancing innovation. The conclusion is that,first,the innovative enterprise may produce by old technology,when the innovative enterprise licenses by per unity royalty and the innovation is neither small nor big. Second,per unit royalty may has the same effect as fixed fee. Both conclusions are different from the existing paper＇s proposal.
