摘　　要：以阿里巴巴集团为案例,通过研究比较了"一股一票制"和"一股多票制"表决权原则的优缺点,指出当前公司治理结构中存在的问题,提出了创新公司治理结构的基本思路:以发展的开放性思路解决主义之争、路径之争和发展之争的问题,以监管的规范性思路解决市场之争、监管之争的问题。Based on Alibaba Group as a case,through the study compared the＂ one share one vote per＂ and＂ a more votes＂ principle, the advantages and disadvantages of voting rights and further study of the two basic fac- tors that affect the corporate governance structure and specific content in five aspects, points out the five major problems existing in the corporate governance structure, put forward to solve the basic idea of perfecting the corporate governance structure and innovation：with the development of open train of thought to solve dispute and path tle, battle about the problem of struggle and development, the standardization of regulatory thinking market bat- over the regulatory problems
