规范非金融企业债务融资工具法律尽职调查的若干建议——基于对短期融资券的实证考察

摘　　要：近年来,我国银行间债券市场发展迅速,发行交易规模与日俱增,同时债券违约事件频发。在银行间债券市场非金融企业融资中,法律尽职调查有着独特而重要的意义。非金融企业债务融资工具法律尽职调查当前面临的问题包括"重大法律事项及潜在法律风险"的概念不清、高管刑事风险核查不力以及对尽职调查的各种限制等。基于此宜尽快加强非金融企业债务融资工具法律尽职调查的体系构建,以发行合法性和法律风险为调查重点,完善尽职调查基本规范,推动律师恪守法律和执业道德,全方位加强投资者保护,并由行业自律组织制定业务操作指引。In recent years, China＇s inter-bank bond market develops rapidly, and the scale of the issuance of transactions increases, at the same time bond default happened frequently. In the inter-bank bond market financing of non-financial enterprises, legal due diligence has a unique and important significance. Legal Due Diligence of Non-financial enterprises Debt financing instruments face with some current problems, such as the unclear concept of ＂significant legal matters and potential legal risks＂, restrictions on Due Diligence and more.Based on this, we should strengthen the construction of the legal due diligence system of debt financing instruments of non-financial enterprises, focus on the issue of legitimacy and legal risk, improve the basic norms of due diligence, promote lawyers abide by the law and practice ethics, strengthen investor protection, and self-regulatory organizations by the industry to develop operational guidelines.
