论区分原则与无权处分合同的效力

摘  要:无权处分合同的效力在以往的理论探讨和司法实践中往往被认为是效力待定,只要权利人拒绝追认或处分人没能取得处分权,无权处分合同就是无效的。针对《合同法》第51条的规定,法律界的共识是:即使权利人拒绝追认或处分人没能取得处分权,无权处分合同也不应一律认定无效。在《物权法》确立物权变动效力区分原则的背景下,无权处分合同原则上应当是有效的,除非无权处分合同本身违反法律、法规的强制性规定和社会公共利益。In the past theoretical and judicial practice, the effect of Contracts without Authorized Man-agement has considered that the validity of them is in suspense. As long as the holders rejected to the ratifi-cation or the disposers cannot get the Right of Disposition, the Contracts without Authorized Management are invalid. There are series of explanations about them on provision 51 in Contract Law. The general conclusion is that even if the holders refused to ratify the effect of the contracts or the disposers failed to receive the Right of Disposition, the Contracts without Authorized Management are all considered to be invalid. Based on the principles of distinction on Change of Property in Law Property, theoretically, Contracts without au-thorized management should be valid, except which violate the legal compulsory provisions of the laws and regulations and public social interests.
