香港公司制法定机构研究——以海洋公园公司为例

摘　　要：以海洋公园公司为例对香港公司制法定机构进行研究，公司制法定机构具有以商业原则运作、以公众利益为依托、拥有丰富的政府与社会资源，并在商业性与公益性之间寻求平衡的特征。如何彰显法定机构的效能、规避市场垄断的嫌疑及规划长远的发展路径是公司制法定机构亟需解决的问题。This paper takes the Ocean Park as an example to study the corporatized statutory bodies of Hong Kong. Its features include operation with commercial principles, reliance on the public interestand a wealth of government and social resources, and the seeking of balance between commercial and public welfare. How to demonstrate the effectiveness of stat- utory bodies, to avoid the suspicion of market monopoly and the long-term development path planning are urgent problems to be solved.
