摘　　要：董事会行为是公司治理框架下的重要研究内容,忙碌董事会从行为强度上刻画了董事会整体及其成员个体在公司治理机制中的投入程度与质量,这会直接影响公司治理的运行效率与质量。本文从忙碌董事会的定义出发,分别从董事会会议和董事兼职两个维度对忙碌董事会的内容与测量进行分析,进而整理和评述了忙碌董事会的前因变量与后效变量,并提出了在今后研究中需要加以重视的方向。Board behavior is an important content of the corporate governance framework. The busy boards depict the work rate and quality of the board and its members in corporate governance mechanism from perspective of behavioral intensity, which directly affects the efficiency and quality of the corporate governance. Starting from the definition of the busy boards, this paper analyzes content and measurement from two aspects of the board of directors and directors of the board, collects and reviews the antecedent and aftereffect variables of the busy boards, and puts forward the direction to follow in the future research.
