摘　　要：根据《中共中央、国务院关于深化国有企业改革的指导意见》的要求,建立现代企业制度,完善公司治理结构,是国有企业改革的方向,也是做强做优做大国有企业的制度保障。文章通过对英美公司、德日公司和东亚家族控制型公司等三类公司治理模式的比较分析,为国有企业完善公司治理结构提供参考。In accordance with the requirements of the CPC Central Committee and the State Council＇s Guidance on Deepening State-Owned Enterprise Reform, establishing modern enterprise system and perfecting corporate governance structure, is the orientation of state-owned enterprise reform as well as system guarantee to make stateowned enterprises stronger, better and bigger. Based on comparative analysis of three kinds of corporate governance modes as follows： British-American corporate governance mode, German-Japanese corporate governance mode and East Asian corporate governance mode, the article provides reference for state-owned enterprises to perfect corporate governance structure.
