高校教授独立董事薪酬法律问题实证研究

摘　　要：本文利用万德数据库和上市公司年报数据,选取高校教授身份的独立董事薪酬为样本,结合高校教授独立董事的履职特点,用总体数据和分类样本相结合的分析方法,研究我国高校教授独立董事薪酬水平,并剖析薪酬与公司规模、股权结构、行业性质、公司所处地域、公司性质等诸多影响因素的关系。为完善上市公司治理提供建议,解决股权过分集中现象,提高对高校教授独立董事履职的重视程度,建立高校教授独立董事信息筛选披露机制,从而促使其更好地发挥作用。Based on the data of wind database and the annual report of listed companies, this paper selects the independent directors＇ remuneration of university professors as the sample. Anal with the method of analysis both of the overall data and the classification of the samples with the characteristics of the duties of the independent directors included, this paper makes the study of the relationship among salary and company size, ownership structure, industry nature, the company＇s geographical location, the nature of the company and many other factors. The purpose of this study is to improve the governance of listed companies, to provide recommendations to address the phenomenon of excessive concentration of equity, to improve the degree of emphasis on the duties of independent directors of university professors and the establishment of information disclosure mechanism of the university independent directors so as to enable them to play a better role.
