摘　　要：教授委员会是美国公立高校普遍实行的内部治理模式。加州州立大学弗雷斯诺分校将教授委员会定义为"由教师组成并为教师代言的机构",在学校所有政策上拥有四项重要权力,即政策的制定权、审查权、修订权和建议权,设置了从院级到校级非常完备的机构,运行机制相对完善。但教授委员会在权利与义务、民主与效率、学术与行政三个方面还是存在一些冲突与问题。Academic Senate is the most popular governance mode in public university in U.S. In California State University, Fresno, the Academic Senate is a body composed of faculty members acting for the faculty of the University. It is empowered to formulate, review, revise, and adopt for recommendation to the President all University policies. It has set up organization from college to university. It＇ s function and operating mechanism are very smooth. But there are still some conflicts in three aspects： rights and obligations, democracy and efficiency, academic and administration.
