摘　　要：商铺租赁权担保是商圈融资中的金融担保创新品种。目前信贷实践中的商铺租赁权质押贷款模式面临着诸多解释上的困境,商铺租赁权质权在市场管理方办理登记的法律效力仍有待确定。虽然可以经由解释承认商铺租赁权质权的效力,但解释路径略显牵强。在权利担保物权的抵押、质押二分的体例之下,商铺租赁权设定担保之后,租赁权人仍须行使商铺租赁权,属于用益型担保,应属权利抵押权范畴。商铺租赁权抵押权应以登记作为公示方法,且登记是商铺租赁权抵押权的生效要件。在不动产登记的先登记原则之下,商铺租赁权抵押权的登记以商铺租赁权先办理登记为前提。就此,应在中国民法典编纂之时予以明确。The security interest of shop leasehold is one of the innovative types of financial guarantee in business district financing.Currently,in the practice of credit,the pledge of shop leasehold mode is being faced with a lot of explanatory difficulties.The legal effect of registration of the pledge of shop leasehold in the market management is still to be determined.Although the effectiveness of the pledge of shop leasehold could be recognized by explaining the law,it seems slightly far-fetched.Under the system that the security interests on the rights are divided into mortgage and pledge,the security provider still exercises the shop leasehold after the security interest is perfected.Therefore,the security interests of shop leasehold have the characteristics of the mortgage.The registration,which makes the mortgage of shop leasehold become effective,should be used as a publicity method for the mortgage of shop leasehold.Under the first registration principle of the real estate registration,the registration of shop leasehold is as a prerequisite to the registration of the mortgage of shop leasehold.This should be clearly defined when we compiles the Chinese Civil Code.
