公司机会规则概念之检讨及其体系性解释

摘　　要：我国在2005年修订《公司法》时引入了公司机会规则,在对相关概念、理论爬梳基础上,演绎出一个体系性解释框架;在抽象出上述框架后,以此作为检讨、形塑公司机会规则适用标准、主体范围等问题的一个参照,利用扩大公司机会规则主体范围、以"利益冲突原则"为基本判断标准与以"所有权原则"作为行为人抗辩事由、"安全港规则"作为除却事由、增加救济措施等等手段和方法建立适合中国的公司机会规则法律救济思路,以期对我国公司机会规则的适用活动有所裨益。＂The corporate opportunity doctrine＂and ＂business judgment rule＂of the company and balance,is the depth of the legal intervention. As the shape of the interests of the company organization（ capital） and power structure（ Corporate Governance） of the system in a ring in the delicate,uphold the ancient ＂fiduciary duty＂basis,seek for benefit segmentation between reality ＂——the operator to grasp the company＂.China in the 2005 amendments to the ＂company law ＂ introduced the corporate opportunity doctrine,which opened for the company specific business from the beginning the transition to the legal adjustment of administrative adjustment.However,the actual situation of legislation on the general provisions of a few words and commercial activities in the complicated form strong tension; need a soft landing of theory and judicial practice to enrich the rich,in order to achieve the corporate opportunity rule. Based on the related concepts,theoretical basis,deduce a system framework; accordingly,the essence and the vitality of the arrangement of property right is the investor for the company,limited liability company＂and＂the creditors of the company for the property of the company the ＂priority of balance between design of claim ＂,to achieve the goal of complete dependence on the property of the company and the company＇s property security,the security needs of the capital rules（such as capital principles,etc.） and business rules（ the corporate opportunity doctrine, prohibition of business strife principle） and the implementation of construction. Abstract in the framework,this paper as a reference review,shaping the company opportunity rules applicable standards,the main scope of the problem,the application benefit of the corporate opportunity doctrine in order.
