技术独董能否抑制企业产能过剩?

摘　　要：本文以2008年至2015年间的A股上市公司为样本,实证分析了技术独董对产能过剩的影响以及制度环境和行业集中度在其中所发挥的调节作用。研究发现:技术独董显著抑制了企业产能过剩,表现为技术独董同企业产能过剩程度之间的负相关关系;当制度环境更为完善和行业集中度更高时,技术独董对于企业产能过剩的抑制作用有所下降,表现为正向调节了技术独董和企业产能过剩之间的负相关关系。这一研究有助于从微观视角增进对企业产能过剩治理的理解,同时丰富了独立董事功能发挥的相关文献。Using A-share listed companies from 2008 to 2015 as the sample, this article analyzes the impact of technical independent directors on excess capacity and the moderating effect of institutional environment and concentration ratio. The results show that technical independent directors decrease excess capacity significantly in presence of technical independent directors negatively correlated with excess capacity. When institutional environment betters and industry concentration ratio gets higher, the inhibiting effect declines, which manifests as positive moderating effect on the negative relation between technical independent directors and corporate excess capacity. The article is helpful for understanding excess capacity governance from microcosmic perspective and enriches related literatures on how independent directors function.
