农村集体经济组织法人股份制探析——以农村集体土地股份化为进路

摘　　要：《民法总则》未规定农村集体经济组织法人的具体形态,而农村集体资产股份化改革、农民对集体的股份权利的政策宣示隐含着股份制。股份制能够落实集体所有制,满足农民对集体权利的具体化要求,且可与家庭联产承包责任制并存,具有制度优势。土地系农村集体核心资产及农民权益的主要载体,股份制法人的实现须经土地股份化,由此农民对土地的权利完备、明确、具体,农村集体经济组织法人组织形态确定,集体土地所有权主体实在化。就具体形式而言,股份合作社与股份有限公司各具特点,因地制宜采用即可。The exact forms of rural collective economic organization as judicial person are not stipulated in general rules of civil law,but it concludes that joint-stock system is appropriate in the reform of demutualization of rural collective assets and policy of rural citizen＇s stock right to the organization. Joint-stock system has institutional advantages to realize the collective ownership,satisfy the rural citizen＇s demands of claims to collective organization and coexist with family-contract responsibility system. Rural lands are key collective assets and main carrier of rural citizen＇s right and interest,therefore rural collective economic organization as joint-stock judicial person shall be created in the course of demutualization of rural collective lands. Thus,land right of rural citizen is complete,clear and exact,the forms of rural collective economic organization as judicial person are finalized and the subject of ownership right of collective land is realized. As far as the exact form,stock cooperative and stock company have their respective characters that decide the adoption of the two forms.
