摘　　要：基于动态能力和吸收能力理论,以我国2010—2013年发生并购的创业板上市公司为研究对象,实证分析了技术并购、吸收能力和技术创新动态能力之间的关系。结果表明:技术并购相对非技术并购提升了并购后企业的技术创新动态能力、技术创新的感知识别能力和资源整合能力,但没有提升技术创新的内化能力;此外,吸收能力能发挥调节作用,吸收能力越强的公司技术并购后其技术创新动态能力更强。因此,企业在并购前需锻炼好内功、并购后在整合目标公司技术资源的同时继续加大自主创新才有利于企业在动态竞争环境中更好提升技术创新能力。Combined with the dynamic capability theory and absorptive capacity theory, this paper systematically studies the relationship between technology acquisition, absorptive capacity and dynamic capability of technological innovation based on the sample of M ＆ A from 2010 to 2013 in China. The results show that the technology acquisition has improved the technological innovation dynamic capability, technological innovation perception ability and the ability to integrate resources, but did not enhance technological innovation transformation ability; in addition, the absorption capacity of mergers and acquisitions can play a regulatory role, the better technology absorptive capacity of acquiring company the stronger the dynamic technological innovation capability after M＆A. Therefore, enterprises need to strength their internal absorption capacity before M＆A. After M＆A, while integrating Target Corp technology resources, they will continue to increase their independent innovation, which will help enterprises better enhance their technological innovation capability in the dynamic competitive environment.
