摘　　要：科技型中小企业已成为我国自主创新体系的重要组成部分。企业小规模和融资硬约束致使该类企业遭遇知识产权资本化困境,尤其是通过知识产权证券化缓解融资难问题在我国尚无成功先例。但业已出现的类知识产权证券化的实践为开展经典知识产权证券化创造了条件,因而可在某些地区或领域率先尝试开展"信用分享型"企业集群知识产权证券化和"信用共享型"产业集群知识产权证券化,探索形成具有中国特色的知识产权证券化模式。High-tech SMEs have become an important part of China＇s independent innovation system. The small size of the enterprise and the hard constraints on the financing have caused such enterprises to encounter the plight of capitalization of intellectual property; especially through the IPRs securitization to alleviate the financing difficulties of High-tech SMEs in China has not yet been a success precedent. But the practices of quasi-securitization of IPRs have created conditions for the development of classical IPRs securitization. So it can take the lead in trying to launch ＂credit sharing＂ enterprise cluster IPRs securitization model （between large enterprises and small enterprises） and ＂credit sharing＂ industry cluster IPRs securitization model （between small enterprises） based on enterprise credit in some regions or areas, and explore the formation of a IPRs securitization with Chinese characteristics.
