摘　　要：多年来,上市公司以及大股东、管理层违规等问题层出不穷,却鲜见独董发声。万科作为号称国内资本市场治理结构最完善的上市公司之一,发生在其身上的＂宝能事件＂可谓广受关注。刘姝威作为＂中国三个最不能惹的女人＂之一,身披万科独董之责,屡屡发出猛声,尽管市场对其多有质疑,也许方式有待商榷。Over the past few years, the foul play has been emerging endlessly in listed companies, major shareholders, and the management department, but few independent directors have ever made their opinions heard in public. Vanke, a listed company that declares itself as having the most sound governance structure in China's capital market, has attracted extensive attention due to the "Baoneng Incident" that happened on it. As one of "the three women in China that cannot be messed up with", Liu Shuwei, bearing the duty as the independent director of Vanke, has declared her sharp opinions for several times. Although there are controversies around her in the market, and maybe her approach is subject to questions and negotiations, at least she is taking measures.
