摘　　要：大量企业同时开展独立研发和合作研发活动,以期实现两者的协同效应。然而,很多企业都没能整合2种研发活动。基于知识治理的观点提出为了达成研发整合的目标,企业不仅要通过知识获取来保证2种研发活动间的知识流动,而且要对所获取知识进行有效利用来实现2种研发活动的协同,因此分析了合作研发治理机制对知识获取的影响及组织结构在利用获取知识来整合2种研发活动过程中发挥的作用。结果发现:知识获取有利于研发整合,组织中心化负向调节知识获取与研发整合的关系,规范化正向调节两者的关系。契约控制与知识获取呈倒U型关系,信任控制正向影响知识获取。研究结果不仅回答了企业如何整合独立研发和合作研发活动这一理论问题,还可以指导企业设计合作研发治理机制以及内部组织结构来实现2种研发活动的协同效应。This study explores the question of how firms can synergize independent and cooperative RD activities. Drawing on the knowledge governance perspective, it suggests that to accomplish the purpose of synergizing both RD activities, a firm not only needs to leverage governance mechanisms of cooperative RD activities to acquire knowledge, but also should take advantage of organizational structure to exploit acquired knowledge to realize the synergies of two RD activities. It finds that knowledge acquisition is positively related to the synergies of independent and cooperative RD activities, and this relationship is moderated negatively by organizational centralization while positively by formalization. Contract control has an inverse U-shaped relationship with knowledge acquisition, whereas trust control has a positive one. The findings not only enrich our knowledge on the issue of synergizing independent and cooperative RD activities, but also can guide firms designing governance mechanisms for cooperative RD activities and internal organizational structure to accomplish the synergies of both RD activities.
