《公司法》视野下营利性民办学校内部治理结构的问题及解决机制  

Problems and Solution Mechanism for the Internal Governance Structure of For-profit Non-governmental Education Institutions from the Perspective of Company Law

摘　　要：与《公司法》《民法总则》有关营利法人组织结构的规定相比,新修订的《民办教育促进法》对营利性民办学校的内部治理机构规定得很简略,且存在制度不合理之处,主要体现在:没有区分营利性民办学校与非营利性民办学校的组织机构,营利性民办学校的权力机构缺失、执行机构不明确,有关监督机构的规定语焉不详,没有规定权力制衡关系等。建议借鉴《公司法》《民法总则》的制度建设经验,通过修订相关法律或制定部门规章,进一步完善营利性民办学校的内部治理结构。Compared with the Company Law and General Provisions of Civil Law,the provisions of Non-governmental Education Promotion Law on internal governance structure of for-profit non-governmental education institutions are very simple,with some unreasonable arrangements. They include no distinction between the organizations of for-profit and non-profit non-governmental education institutions,lack of authority of for-profit non-governmental education institutions,unclear executive agency and regulation of the relevant supervisory bodies,and lack of power balance. It is recommended to draw on the system construction experience of Company Law and General Provisions of Civil Law,through amending relevant laws or establishing departmental regulations,to improve the internal governance structure of the for-profit non-governmental education institutions.
