试论股份制银行的异化及其矫正

摘　　要：股份制银行自成立以来 ,在引进现代的管理方式 ,推动金融改革和创新方面进行了有益的尝试 ,取得了较好的成效 ,股份制也成为国有商业银行改革的思路。但是 ,股份制银行在运行的过程中存在的异化问题同样不容忽视。如果不认真解决这个问题 ,股份制银行有可能染上国有商业银行的弊病。本文对股份制银行异化的原因从公司治理结构和竞争环境方面进行了分析 ,并指出 ,矫正及防治股份制银行异化的根本措施是完善其法人治理结构 ,消除竞争中的不公平因素 ,以促进其健康发展。Since they came into being,jointstock banks have made a helpful attempt to introduce modern management,promote financial reform and innovation,and have obtained excellent effects as well.Meanwhile,the system of joint stock has become the train of thought for stateowned commercial banks.However,we couldn′t ignore the dissimilation of jointstock banks occurred in their operation.If these problems cannot be seriously solved,jointstock banks may suffer from the malpractice which is characteristic of stateowned commercial banks.As to the reasons of dissimilation of jointstock banks,the paper analyzes from corporate governance structure and competition environments,then it points out that the rectification and prevention of the jointstock banks are to perfect their corporate governance structure,and eliminate those unfair factors in competition so as to promote their healthy development.
