基于国际化背景的上市公司跨国并购影响因素研究

摘　　要：选取2007—2016年间发生并购交易的中国上市公司,以2162个数据对象作为研究样本,检验了高管海外背景、交叉上市、跨国并购经验和国外销售收入占比这4个国际化背景因素对上市公司跨国并购决策的影响.结果显示,4个因素与跨国并购决策的偏好均呈正相关,并据此提出有针对性的建议.We select the mergers and acquisitions of listed companies in China from 2007 to 2016,take 2162 data objects as the research sample,test the executives overseas experience background,cross-listing,transnational mergers and acquisitions and foreign sales revenue are accounted for the four international background factors which on the impact of transnational mergers and acquisitions of listed companies decision.The results show that the four factors are positively correlated with the preference of transnational mergers and acquisitions of decision-making,and then make some pertinent suggestions accordingly.
