国外董事会绩效的影响因素研究

摘　　要：综合分析国外董事会绩效影响因素相关文献,得出董事独立性、信息、高管薪酬与评价、董事会构成、外部环境、私营部分、成本、利益相关者与所有权等,是影响董事会绩效的主要因素,指出优化相关影响因素,有利于提高董事会绩效。以期为进一步提高我国董事会绩效水平提供参考依据。Infl uencing factors of performance and effi ciency of foreign board of directors are analyzed synthetically around corresponding reference,the paper draws a conclusion that key factors which influence performance and efficiency of board of directors are independence of directors,information,executive compensation and evaluation,composition of board of directors,external environment,private section,cost,stakeholder,ownership etc.Performance and effi ciency of board of directors can be improved by optimizing these infl uencing factors.The value of essay is to provide evidence for Chinese board of directors in order to improve performance and effi ciency further.
