摘　　要：从产权的社会视角看,中国国有企业的产权是嵌入到特定的社会环境和关系之中的,企业与政府(国家)、企业与企业、企业与职工三种关系结构以及长期积淀形成的社会关系网络构成国企产权界定的基础。国企产权变革是企业所有权(股权)置换和职工身份置换的"双向过程",国企产权是国家、企业和职工三者互构的结果,三者共享的社会认知是产权界定的前提。从整体进程看,国企产权变革不是简单的由公到私,而是"不完全产权变革",位于公私两端之间的是多元复合的产权形态。在社会主义市场经济的制度前提下,不同产权形态的交互作用构成了一种动态演化的连续谱。身份是国企产权界定以及权利转移的重要条件,无论是企业组织的身份性质还是企业职工的身份等级都对企业的资产归属以及权利边界有重要影响。From the social perspective of property rights, the property rights of Chinese state-owned enterprises are embedded in the specific social environments and relationship. The structural relationship between enterprises and governments(states), enterprises and enterprises, enterprises and employees, and the network of social relationship formed with long-term accumulation constitute an important basis for the definition of property rights of state-owned enterprises.The change of state-owned enterprise property rights is"a two-way process" of the enterprise ownership replacement and the employees’ identity replacement. The property rights of state-owned enterprise are the outcome of the mutual construction among the state, enterprises and employees, whose shared social cognition is the premise for the definition of property rights. From the perspective of the whole process, the property rights reform of state-owned enterprises is not simply the change from the public to the private, but is an "incomplete property rights reform". Between the public and the private property rights, there are a number of multiple composite forms of property rights. Under the institutional premise of socialist market economy, the interaction of different forms of property rights constitutes a continuous spectrum of dynamic evolution. Identity is an important condition for defining and transferring of property rights in stateowned enterprises. Both the identity nature of organizations and the identity hierarchy of employees influence greatly the ownership of assets and the boundaries of rights.
