摘　　要：对当前国内外企业频繁的高层人事变动从公司治理的角度进行了分析 ,认为国内与国外在企业进行高层人事调整上存在明显不同 ,造成这种结果的原因既有我国企业不规范的内部法人治理结构 ,同时也有企业外部市场环境不完善因素的影响。公司高层管理人员的更换表现出的是一种企业代理权的竞争 ,这不仅需要有健全的能发挥积极作用的公司内部法人治理结构 ,而且还要有通过产品市场和要素市场发挥作用的公司外部治理机制 ,国有企业上述两方面条件都欠缺。选取不同行业中有代表性的企业 ,尽管这些国有企业在各自行业中的地位不尽相同 ,但他们在国有企业建立现代企业制度的改革中有共同的目标 ,通过分析这些企业的人事变动 ,看出国有企业改革正在逐步深化 ,尤其是家电企业 ,在市场竞争变得越来越激烈的情况下 ,为了能够在这种艰难的环境中生存下去就必须首先完善公司的内部治理结构 。The phenomenon of frequent top management turnover in domestic and overseas enterprises has been analyzed in corporate governance theory. Essential difference exists between the west and domestic companies' senior management changes. Many factors contribute to that result, such as the nonstandard internal corporate governance, incomplete external market environment, etc. Top management turnover reveals the competition for an agent power of enterprise, in which there should be not only sound and effective internal corporate governance system, but also external corporate governance mechanism that will function through the product market and factor market. However state owned enterprise(SOE)dose not reach that condition. Several typical state owned enterprises in different fields were chosen as examples. Though those enterprises lie in different positions in their respective fields, they have the same aim in the reform of SOEs of building modern enterprise system. Having analyzed these enterprises personnel changes, it could be found that SOE's reform is being carried on further, especially the household electric appliances enterprises. Since the market competition become more and more fierce, in order to survive under the hard condition enterprises have to improve their corporate governance at first. Improving the corporate governance is the main motive for enterprise to have high level personnel change.
