摘　　要：在经济全球化进程中,中国企业逐步实施"走出去"战略,近年来由于受矿产资源缺乏等多种因素的倒逼压力的影响,我国企业海外并购数量和并购金额快速上升。但是,与发达国家相比,还有相当的差距,并且表现出不同于发达国家的特点。近年来,中国企业海外并购方案的实施遭遇各种困难和障碍。譬如:跨国并购经验、对国际资本市场的了解、外国政府干预、并购后的有效整合、政府有效监管等等都是造成海外并购失败的基本成因,本文就中国企业海外并购的基本路径进行分析和探讨,为中国企业海外并购提供参考借鉴。In the process of economic globalization,Chinese enterprises have gradually implemented the strategy of"going global".In recent years,due to the pressure of many factors such as the lack of mineral resources,the number and amount of overseas mergers and acquisitions of Chinese enterprises have increased rapidly.However,compared with developed countries,there is still a considerable gap,and show different characteristics from developed countries,In recent years,the implementation of Chinese enterprises’overseas merger and acquisition plan has suffered various difficulties and obstacles.Such as cross-border m&a experience,understanding of the international capital market,foreign government intervention,the effective integration after the merger,the government effective regulation are the basic causes the failure of overseas mergers and acquisitions,the paper is the basic path of Chinese enterprises overseas m&a some analysis and discussion,provide a reference for Chinese enterprises overseas mergers and acquisitions.
