基于公司治理视角的铁路局集团公司现代企业制度建设思考——以北京局集团公司为例

摘　　要：当前铁路改革与发展进入了一个新阶段,公司制改革后的铁路局集团公司迫切需要推进机制转换和完善制度建设。公司治理是现代企业制度建设的核心问题。从公司治理的视角来看,铁路局集团公司在新体制机制运行中还存在着治理结构和机制不完善、制度管理不系统、管控模式不灵活等问题。加强铁路局集团公司现代企业制度建设应从公司制度涉及的产权制度安排、治理结构与机制优化、制度体系建设、管控模式转型等方面着手,强化党的领导与公司机制的融合、健全公司治理结构和机制、构建具有国铁特色的管理制度体系、变革集团公司管控模式,建设有中国特色的国铁现代企业制度。At present,the reform and development of railway has entered a new stage.After the reform of company system,Railway Bureau Group Company urgently needs to realize mechanism transformation and system construction.Corporate governance is the core of modern enterprise system construction.Seen from the perspective of corporate governance,there are still some problems in the operation of the new system and mechanism,such as imperfect governance structure and mechanism,unsystematic system management,inflexible management and control mode.To strengthen the construction of modern enterprise system of Railway Bureau Group Company,we should start from the arrangement of property right system,optimization of governance structure and mechanism,construction of system,and transformation of management and control mode,so as to strengthen the integration of the party’s leadership and company mechanism,improve the company’s governance structure and mechanism,build a management system with national railway characteristics,change the management and control mode of group company,and build a modern enterprise system with Chinese characteristics.
