摘 要:《商标法》第四十二条规定了近似商标一并转让规则,其目的在于保护消费者的利益。然而商标权作为私权,当商标权人将近似商标分割转让时,合同是否有效,法院面临两难选择。需要在明确商标法优先保护商标权人利益的价值取向基础上,对我国近似商标转让制度进行重构。商标法应当明确规定联合商标,商标权人如果将近似商标注册为联合商标的,则必须一并转让。如果将近似商标独立注册并使用的,则应当允许分割转让,并对其进行适当规制以保障消费者利益。Article 42 of the Trademark Law stipulates the rules for the package transfer of similar trademarks in order to protect the interests of consumers.However,as a private right,when the trademark owner transfers similar trademarks separately,the court faces a dilemma of whether the contract is effective.On the basis of clarifying the value orientation of the trademark law to protect the interests of trademark owners,we need to reconstruct the similar trademark transfer system in China.The trademark law shall clearly stipulate the union-trademark.If the trademark owner registers the similar trademarks as a union-trademark,it must be transferred together.If the similar trademarks is registered and used independently,it should be allowed to be transferred separately.Besides,specific measures such as adding differentiating marks should be employed to safeguarding the interests of consumers.
