摘　　要：公司法人治理中充满相关各方的利益互惠和利益冲突,不同类型、不同时期公司法人治理的突出问题有所不同。针对当前国有企业法人治理中两个方面的突出问题展开讨论,探讨实现良好企业法人治理机制的有效路径:治本之道是解决国有企业"所有者缺位"问题,治标之策是健全法人治理结构。The corporate governance is full of mutual benefits and conflicts of interests,and the prominent problems of corporate governance vary in different types and periods.Aiming at the two prominent problems in the corporate governance of state-owned enterprises,this paper discusses the effective ways to realize a good corporate governance mechanism.The solutions to the root causes are to solve the problem of"owners absence"of state-owned enterprises,and to improve the corporate governance structure.
