摘　　要：随着党和国家对创新创业愈发重视,各高校纷纷建立了自己的学生创新创业平台。而“双创”平台与学生创业者无疑是大学生创新创业过程中最为重要而又密切相关的两个主体。以此双主体为视角进行切入,剖析学生创新创业过程中的各种法律风险,创业者可能会遇到与“双创”平台的法律纠纷、专利权归属不清和企业设立、融资、税收及管理等一系列法律问题,而“双创”平台则会面对入驻团队的日常管理、知识产权甚至融资担保等方面的法律风险。对此,提出相应的防控与救济措施,希望在实践中尽量避免或减轻以上法律风险可能带来的损失,更好地为高校学生创新创业保驾护航。With the Communist Party and the national increasing attention to innovation and entrepreneurship,many universities have established their own innovation and entrepreneurship platforms for college students(I&E).Undoubtedly,the“I&E”platform and college students are the most important and closely related subjects in the process of college students’innovation and entrepreneurship.This article intends to make a thorough analysis of various legal risks in the process of college students’innovation and entrepreneurship from the perspective of these two subjects.On the one hand,entrepreneurs may encounter legal disputes with the platform,unclear ownership of patent rights and a series of legal problems such as enterprise establishment,financing,taxation and management.On the other hand,“I&E”platform will face legal risks as the daily management of the resident team,intellectual property rights and even financing guarantee and other risks.To solve this problem,it is necessary to propose corresponding prevention and relief measures with the hope to avoid or reduce the above legal risks in practice and to better escort college students’innovation and entrepreneurship.
