摘 要:囿于修法前商业秘密本身的学理争议和立法不足,我国《劳动法》保护商业秘密的立法规范始终具有原则化倾向,亦造成了相关的立法争论和司法困境。近几年,《民法总则》立法和《反不正当竞争法》修法已分别对商业秘密的客体保护方式、权利属性、构成要件、侵权主体、举证责任分配以及法律责任承担等进行了修订,将对我国劳动法立法规范和司法适用过程中保密义务的性质、竞业禁止的功能定位、竞业禁止的主客体范围、救济途径的设计、商业秘密构成的认定及举证责任分配问题产生重要影响。但不容否认的是,上述商业秘密修法的影响仍具有一定的局限性,亟待相关司法解释甚至是一部商业秘密法典的制定和出台。Due to the academic disputes and legislative defects before the revision of the law, the abstract clause on trade secrets in Labor Law of People’s Republic of China has resulting in a series of legislative disputes and judicial difficulties. The General Provisions of Civil Law and Revised Law of Against Unfair Competition have modified relevant rules on the trade secrets, including the method of object protection, attribute of rights, constitutive component, infringement subjects, distribution of proof burden and legal liability. And it will have an important influence on the nature of confidentiality, the functional orientation of non-competition, the subjective and objective scope of non-competition, the design of remedy approach, the definition of trade secrets and the distribution of proof burden in the legislative regulation of labor law and the process of judicial application. Significantly, it is worth noting that although it is a remarkable legislative progress on these amendments, there still exists certain limitations. Therefore, the relevant judicial interpretations and even the formulation and promulgation of a trade secret code are still imperative.
