浅析如何有效管控中外合资企业维护中方股东权益

摘　　要：随着改革开放的不断深入,中外合资企业已扎根到中国的很多行业,对中国经济的快速增长发挥了非常重要的推动作用。由于各方股东都会追求股权利益,所以中外股东围绕合资企业的利益博弈也在不断加强,这种博弈不仅体现在合资企业内部,也体现在股东对合资企业的控制权上。论文以福建炼化保障自身行使股东权益为例,从股东如何对合资公司有效监管的角度,初步探讨了中方股东保障自身权益的思路和方法。With the deepening of reform and opening up,sino-foreign joint ventures have taken root in many industries in China and played a very important role in promoting the rapid growth of China’s economy.As shareholders of all parties will pursue equity interests,the interest game between Chinese and foreign shareholders around the joint venture is constantly strengthened,which is not only reflected in the internal of the joint venture,but also reflected in the shareholders’control over the joint venture.Taking Fujian Oil Refinery and Chemical Company Limited as an example,this paper preliminarily discusses the ideas and methods for Chinese shareholders to protect their own rights and interests from the perspective of how shareholders can effectively supervise the joint venture company.
